Description:
We are seeking a dedicated Corporate Lawyer to provide expert legal counsel in Islamabad. This role focuses on contract drafting, financial instruments, ESOPs, and supporting Revive’s growth in the MedTech industry while managing legal risks.
Key Responsibilities:
- Contract Drafting & Review: Draft and review contracts (e.g., commercial agreements, vendor/service contracts, NDAs, partnership agreements) to ensure compliance with relevant U.S. laws and operational requirements.
- Financial Instruments & Capitalization Tables: Structure, negotiate, and document financial instruments (e.g., convertible notes, SAFEs, preferred equity agreements) and prepare/review capitalization tables.
- Employee Share Option Agreements (ESOPs): Draft U.S.-compliant ESOPs, including plan structures, vesting schedules, and employment provisions.
- Provide legal advice on corporate governance, bylaws, and compliance with healthcare regulations (e.g., HIPAA) and intellectual property laws.
- Perform due diligence for partnerships, joint ventures, or funding rounds.
- Mitigate legal risks for product development.
- Assist HR with employment contracts and compliance.
Qualifications:
- LLB degree from an accredited institution with experience in a relevant field.
- In-depth knowledge of contract law, financial instruments, ESOPs, corporate governance, IP, and data privacy regulations.
- Demonstrated ability to draft convertible notes, SAFEs, and capitalization tables.
- Strong negotiation, communication, and analytical skills.
- Proficiency in MS Office and legal research tools; familiarity with MedTech compliance is a plus.
- Collaborative mindset to work with cross-functional teams.
