Legal Counsel

Description:

We are seeking a Legal Counsel with 1-2 years of professional experience in corporate law, preferably within the banking or financial services industry. This role will involve advising on a broad range of legal matters, including corporate governance, compliance, contract negotiations and regulatory issues. The ideal candidate will be a proactive, detail-oriented individual with a passion for the fintech space and the ability to work in a fast-paced, high-growth environment.

Key Responsibilities:

· Corporate Governance: Assist in managing corporate governance matters, including board meetings, shareholder resolutions and corporate filings.

· Contract Review & Negotiation: Draft, review and negotiate a variety of contracts, including commercial agreements, partnership agreements, licensing agreements and NDAs.

· Regulatory Compliance: Assist in ensuring compliance with relevant financial services regulations, data protection laws and industry-specific rules. Support the team in responding to regulatory inquiries and audits.

· M&A & Investments: Assist in due diligence and legal aspects of mergers, acquisitions, joint ventures and investment transactions.

· Risk Management: Identify and advice on potential legal risks, liabilities and exposures associated with the company’s operations, products and services.

· Litigation Support: Provide support in dispute resolution, including managing external counsel and developing strategies to address legal challenges.

· Advisory Support: Provide day-to-day legal advice to business teams on a variety of issues, such as product development, marketing, intellectual property and customer agreements.

Qualifications:

· Education: A law degree from an accredited institution.

· Experience: 1-2 years of legal experience, with a focus on corporate law, commercial contracts, or regulatory compliance. Experience within the banking or financial services sector is a plus.

Skills & Knowledge:

· Strong understanding of corporate governance, commercial law and relevant financial regulations.

· Familiarity with key fintech regulatory frameworks (e.g., payments, data protection, anti-money laundering).

· Excellent contract drafting and negotiation skills.

· Strong analytical, research and problem-solving abilities.

· High attention to detail and ability to manage multiple tasks simultaneously.

· Excellent communication skills, with the ability to articulate complex legal concepts to non-legal teams.
